Terms of Service

Effective from: 4 September 2026

These Terms of Service apply to services provided by Jessica Bell Design (“Jessica Bell Design” or “the Designer”) to the person or organisation commissioning the services (“the Client”).

By signing a project agreement, approving a quotation, paying a deposit, or otherwise instructing Jessica Bell Design to commence work after being provided with these Terms, the Client agrees to be bound by them.

1. Pricing and VAT: All prices for services carried out by Jessica Bell Design are subject to VAT at the applicable rate where VAT is required.
2. Estimates and Quotations: All estimates and quotations, whether written or verbal, apply only to the services specifically listed or described. Any additional services or work outside the agreed scope will be quoted separately and will not be undertaken without the Client’s approval.
3. Project Commencement and Payment Schedule: Unless otherwise agreed in writing, a signed project agreement and a 50% deposit of the quoted fee are required before work commences. The remaining balance, or any agreed stage payments, will be invoiced according to the payment schedule specified in the project agreement or quotation. Jessica Bell Design is not required to reserve project dates or commence work until any required deposit has been received.
4. Revisions: Unless otherwise stated in the project agreement or quotation, the quoted fee includes up to three rounds of reasonable revisions to the presented design. A “round” means one consolidated set of requested changes submitted by the Client. Additional revision rounds, substantial changes to an approved direction, or work outside the original brief may incur additional charges. Any such charges will be communicated to the Client in advance.
5. Change of Brief: If the Client substantially changes the original brief, scope, specifications, format, or requirements of the project after work has commenced, Jessica Bell Design will advise the Client of any resulting additional costs and/or changes to the project schedule before undertaking the additional work.
6. Project Schedule: Projects are planned according to an agreed schedule. Delays by the Client in supplying materials, providing feedback, granting approvals, making payments, or otherwise meeting agreed responsibilities may affect the final delivery date. Where this occurs, Jessica Bell Design will advise the Client as soon as reasonably practicable and, where feasible, propose a revised schedule. Rescheduling may incur additional costs where previously reserved design time is lost or additional work is required.
7. Delivery Deadlines: Jessica Bell Design will make reasonable efforts to meet agreed delivery dates, but will not be responsible for delays caused by circumstances outside its reasonable control, including delays caused by the Client, third-party suppliers, technical failures, or force majeure events.
8. Payment Terms: Unless otherwise agreed in writing, invoices are payable within seven calendar days of the invoice date. In business-to-business transactions, Jessica Bell Design reserves the right to charge statutory late-payment interest and applicable recovery costs on overdue invoices in accordance with Greek and European Union law. Jessica Bell Design may suspend work or withhold final deliverables while an invoice remains overdue.
9. Third-Party Costs, Project Holds, and Stage Invoicing: The Client may be required to pay in advance for stock imagery, fonts, printing, illustration, or other third-party costs incurred specifically for the project. If a project cannot be completed, or is delayed or placed on hold by the Client for four weeks or more, Jessica Bell Design may invoice for work completed and costs incurred up to that point. Resumption of a delayed or paused project will be subject to Jessica Bell Design’s availability and may require a revised schedule.
10. Retention of Files: Jessica Bell Design may retain supplied files, originals, project files, and related materials for up to 12 months following completion or cessation of a project, but does not guarantee permanent storage.
The Client is responsible for securely retaining copies of all final files supplied to them. Jessica Bell Design is not responsible for storing or replacing files after the retention period has expired.
11. Ownership, Copyright, and Source Files: Unless otherwise agreed in writing, Jessica Bell Design retains copyright in its original design work, concepts, layouts, working files, source files, preliminary designs, and unused or rejected concepts. Upon receipt of full payment, the Client is granted a licence to use the final approved design for the purposes agreed in the project agreement. Third-party assets incorporated into the design, including stock imagery, illustrations, fonts, and other licensed material, remain subject to their respective licences and are not owned by either Jessica Bell Design or the Client. Editable files, working files, layered files, source files, and unused concepts are not included in the final deliverables unless expressly agreed in writing.
12. Client Approval and Errors: The Client is responsible for carefully reviewing and approving final proofs, including spelling, grammar, text, names, dimensions, specifications, image placement, and other supplied content. Once final approval has been given, Jessica Bell Design will not be responsible for errors that were present in the approved proof, except to the extent that liability cannot lawfully be excluded. Any costs associated with correcting, reprinting, redistributing, or otherwise rectifying an error after approval will be the Client’s responsibility unless otherwise agreed.
13. Copyright and Client-Supplied Materials: The Client is responsible for ensuring that all materials supplied to Jessica Bell Design have the necessary copyrights, licences, permissions, releases, and other rights required for their intended use. This includes photographs, illustrations, artwork, logos, fonts, text, and material created or modified using generative AI. The Client must disclose when supplied material is AI-generated or AI-assisted where this is known to them. Jessica Bell Design reserves the right to refuse or remove supplied material where its provenance, ownership, licensing, or suitability for commercial use cannot reasonably be established. Jessica Bell Design accepts no responsibility for copyright infringement or other claims arising from materials supplied by the Client without the necessary rights or permissions.
14. Freelancers and Subcontractors: Jessica Bell Design may engage suitably qualified freelancers, contractors, or specialist service providers where reasonably necessary to complete a project. Jessica Bell Design remains responsible for managing work commissioned directly by Jessica Bell Design and for delivering the agreed services to the Client.
15. AI-Assisted Design Tools: Jessica Bell Design is a human-led design service. Design concepts, creative direction, composition, typography, and final design decisions are undertaken by the Designer. As part of a professional design workflow, Jessica Bell Design may use AI-assisted tools available within professional design software, including Adobe Photoshop features such as Generative Fill and Generative Expand, for purposes including image extension, removal, modification, compositing, and visual refinement. Licensed stock assets used in a project may also contain elements created or modified using generative AI. Jessica Bell Design will only knowingly use stock assets and AI-assisted tools where the applicable licensing terms permit commercial use.
AI tools are not used as the sole creator of commissioned design work.
16. Third-Party Services: Where the Client independently engages a third party in connection with a project, Jessica Bell Design is not responsible for the acts, omissions, performance, products, or services of that third party. This includes printers, publishers, distributors, developers, hosting providers, manufacturers, or other suppliers not commissioned and managed directly by Jessica Bell Design.
17. Reporting Issues: The Client should notify Jessica Bell Design in writing as soon as reasonably practicable after discovering any error, loss, damage, or quality issue relating to delivered work. Jessica Bell Design must be given a reasonable opportunity to investigate and, where appropriate, remedy an issue before the Client incurs third-party costs in attempting to rectify it.
18. Dispute Resolution: If a dispute arises in connection with a project, both parties agree to make reasonable efforts to resolve it promptly and in good faith. Where appropriate, the parties may agree to attempt mediation before commencing formal proceedings. Nothing in this clause restricts either party from exercising any legal rights or remedies available to them.
19. Exclusivity and Similarity: Unless exclusivity has been expressly agreed in writing, Jessica Bell Design does not guarantee that concepts, styles, colour palettes, typography, imagery, composition, or other general design characteristics will be unique to the Client. Jessica Bell Design will not knowingly reproduce another party’s protected work but cannot guarantee that independently created work will bear no similarity to existing designs, branding, artwork, or other creative material.
20. Intellectual Property Protection: The Client is responsible for obtaining any registrations or additional intellectual-property protection they consider necessary in relation to their name, brand, trademark, title, logo, or other protectable material. Jessica Bell Design does not provide legal advice regarding copyright, trademark registration, or other intellectual-property protection.
21. Data Protection: Each party is responsible for complying with applicable data-protection legislation, including the General Data Protection Regulation (GDPR), where applicable, in relation to personal data it controls or processes. The Client is responsible for ensuring that any personal data supplied to Jessica Bell Design has been lawfully collected and may lawfully be provided and processed for the purposes of the project. Where Jessica Bell Design acts as a data processor on behalf of the Client and applicable law requires a separate data-processing agreement, the parties will enter into such an agreement.
22. Cancellation: The Client may cancel a project by providing written notice. Upon cancellation, the Client will be responsible for payment for all work completed up to the date of cancellation, together with any non-refundable third-party costs already incurred and any other cancellation charges expressly agreed in the project agreement. Any unused portion of advance payments will be handled in accordance with the applicable project agreement and applicable law. Nothing in this clause limits any statutory cancellation or withdrawal rights that may apply to a Client acting as a consumer.
23. Use of Design Work by Jessica Bell Design: Unless otherwise agreed in writing, Jessica Bell Design reserves the right to display final approved design work for legitimate promotional and portfolio purposes, including on its website, social media accounts, professional portfolios, advertising, awards submissions, presentations, and printed promotional material. Where a project is confidential or subject to an agreed publication or launch date, Jessica Bell Design will not knowingly publish the final work before that date.
24. Confidentiality of Unfinished Work: The Client may not publicly share, publish, distribute, or post unfinished designs, preliminary concepts, rejected concepts, or other work-in-progress material without Jessica Bell Design’s prior written permission.
25. Licensing of Final Designs and Third-Party Assets: Jessica Bell Design’s final designs are licensed to the Client for the purposes agreed in the project agreement and may not be resold, sublicensed, loaned, or distributed as standalone design assets without written permission. Third-party assets incorporated into a design, including stock photography, illustrations, fonts, and other licensed content, remain subject to their respective licensing terms. Such assets may include content created or modified using generative AI. Use of licensed assets outside the completed design may require a separate or additional licence.
26. Reproduction Limits: Third-party assets are subject to the reproduction limits and other conditions of the licence under which they were obtained. Where the Client’s intended use exceeds those limits or conditions, an enhanced, extended, or additional licence may be required at the Client’s expense. The Client should notify Jessica Bell Design if unusually large print quantities, merchandise, resale products, or other uses outside the originally agreed scope are anticipated.
27. Transfer or Use by a Publisher: If the Client subsequently enters into an agreement with a publisher or other third party that wishes to use the design, Jessica Bell Design must be notified in writing before such use. Any necessary transfer, relicensing, or extension of licences for stock imagery, illustration, fonts, or other third-party assets must be arranged before the publisher or third party uses the design. Where permitted by the relevant publishing agreement and applicable third-party licences, Jessica Bell Design should be credited for the cover or other design work.
28. Changes to These Terms: Jessica Bell Design may update these Terms of Service from time to time. Updated Terms will apply to new projects and future commissions from their stated effective date. Changes will not retrospectively alter the agreed terms of an existing project unless both parties agree otherwise in writing or the change is required by law.
29. Force Majeure: Neither party will be liable for delay or failure to perform its obligations where caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, war, terrorism, civil disturbance, government action, interruption of utilities or communications, widespread technical failure, industrial action, serious illness, or inability to obtain essential materials or services. The affected party will notify the other as soon as reasonably practicable. If such circumstances materially prevent completion of the project, either party may terminate the project, with the Client remaining responsible for work completed and non-refundable costs incurred up to that point.
30. Withholding of Deliverables: Jessica Bell Design may suspend work and withhold final deliverables, licences, or usage rights while any amount properly due under the relevant project remains unpaid. The Client’s licence to use the final design does not take effect until payment has been received in full.
31. Limitation of Liability: To the extent permitted by applicable law, Jessica Bell Design will not be liable for indirect or consequential losses arising from the use of its services or deliverables, including loss of profits, sales, business opportunities, anticipated savings, or reputation. Jessica Bell Design is not responsible for changes made to completed work by the Client or a third party after delivery, or for losses resulting from use of the work outside the scope for which it was commissioned. Nothing in these Terms excludes or limits any liability or statutory right that cannot lawfully be excluded or limited under Greek or European Union law.
32. Entire Agreement and Project-Specific Terms: These Terms, together with the applicable quotation, project agreement, and any other terms expressly agreed in writing between Jessica Bell Design and the Client, constitute the agreement relating to the commissioned services. Where a project agreement expressly conflicts with these general Terms, the expressly agreed project-specific provision will take precedence for that project.
33. Acceptance of Terms: By signing a project agreement, approving a quotation, paying a deposit, or otherwise instructing Jessica Bell Design to commence work after being provided with these Terms, the Client acknowledges and agrees to be bound by them.
34. Governing Law and Jurisdiction: These Terms of Service and any agreement between Jessica Bell Design and the Client shall be governed by and construed in accordance with the laws of Greece and applicable European Union law. Subject to any mandatory rights or jurisdictional protections available to consumers under applicable law, disputes arising out of or in connection with these Terms or the services provided by Jessica Bell Design shall be subject to the jurisdiction of the competent courts of Greece. Nothing in these Terms is intended to exclude, restrict, or override any mandatory rights or protections that cannot lawfully be excluded under Greek or European Union law.
